Please read these terms and conditions of service (“TOS”) carefully before accessing or using the Service.
These TOS govern your use of the Service operated by SILENT CREEK LIMITED, 4th Floor, 3 More London Riverside, London, United Kingdom, SE1 2AQ (“SCL”). These TOS apply to your access to and use of our mobile applications, the website at www.stockengine.ai, any associated web or mobile interfaces, application programming interfaces (APIs), and all related features, functionality, content, and services, including any user accounts and subscription-based services (collectively, the “Service”). By accessing, downloading, installing, registering for, or otherwise using any part of the Service, you confirm that you have read, understood, and agree to be bound by these TOS and any policies incorporated by reference.
If you do not agree to these TOS, you must not access or use the Service.
Additional terms or policies may apply to specific features or services. Where such additional terms expressly apply, they will be identified at the relevant point of use and will supplement these TOS. In the event of a conflict, these TOS shall prevail unless expressly stated otherwise.

1.1 You represent that you have read and agree to be bound by the TOS. By continuing to access, link to, or use the Service you signify your acceptance of the TOS.
1.2 You confirm, if you are using the Service on your own behalf, that you are at least 18 years of age and in any event, at least of the legal age required in your country to enter the TOS. If you are using the site behalf of an organization or company, you confirm that you have the legal authority to bind any such organization or company to these TOS.
1.3 SCL reserves the right to amend, remove, or add to the TOS at any time. Such modifications shall be effective immediately. Accordingly, please continue to review the TOS whenever accessing, linking to, or using the Service. For changes to these TOS that we deem material, we will place a notice on www.stockengine.ai/notices by revising the link on the homepage to read substantially as “Updated Terms of Use” for an amount of time that we determine in our discretion. Your access, link to, or use of the site, or any service on the Service, after the posting of modifications to the TOS will constitute your acceptance of the TOS, as modified. If, at any time, you do not wish to accept the TOS, you may not access, link to, or use the site. Any terms and conditions proposed by you which are in addition to or which conflict with the TOS are expressly rejected by SCL and shall be of no force or effect.
2.1 The Service comprises a software platform that enables users to query and process publicly available information using automated statistical and natural-language processing models. The Service provides computational tools that allow users to define thematic or conceptual investment theses, filter securities using user-selected criteria, generate model-based analytical scores, and produce hypothetical mathematical allocations based solely on user-defined parameters and publicly available historical data.
2.2 By using the Service, the user acknowledges, confirms, and agrees that:
(a) The Service collects and processes publicly available information, including corporate disclosures and media publications. SCL does not, nor does any other party in connection with the provision of the Service, verify the accuracy, completeness, or timeliness of such information and accepts no responsibility for errors within source material.
(b) The Service is designed exclusively as an analytical research and modelling tool. The Service does not assess suitability or appropriateness. Outputs generated by the Service are not personalized, are not based on any user specific financial circumstances, do not consider investment objectives, risk tolerance, financial position, or loss-bearing capacity. All results are produced solely in response to parameters, filters, and constraints selected by the user. The user alone determines any thesis definition, inclusion and exclusion criteria, universe selection, portfolio size, portfolio structure. The Service performs automated calculations based exclusively on those inputs. SCL does not, nor does any other party, select securities or model input parameters for the user and SCL nor any other party determines that any financial instrument is appropriate for any person, which selections and determinations are and will be solely the responsibility of the user and its professional advisors.
(c) The Service is not designed as a professional advisory tool and does not provide financial, investment, tax, legal, accounting, or other professional advice. The Service does not assess suitability or appropriateness for any person and does not consider any user’s financial circumstances, investment objectives, or risk tolerance. SCL does not, nor does any other party in connection with the provision of the Service, act as investment adviser, portfolio manager, broker, financial planner, or fiduciary. Use of the Service does not create an advisory, agency, or other fiduciary relationship, nor are any duties implied to that effect, and to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated.
(d) Nothing in the Service constitutes a recommendation, solicitation, endorsement, or offer to buy, sell, subscribe for, or hold any financial instrument. The user is solely responsible for evaluating any information or output obtained from the Service and for any decision or action the user takes. By accessing and using the Service, the user represents that the user is financially and technically sophisticated enough to use the Service and to understand the inherent risks associated with implementing any or all of the model outputs. If the user reasonably is unable independently to assess the relevance, risks, suitability, or appropriateness of any information or output produced by the Service, the user should not rely on the Service and should seek advice from a suitably qualified and regulated professional adviser before making any investment or financial decision.
(e) Model outputs, including thesis sensitivity scores and portfolio allocations are computational estimates, are not factual statements, may be incomplete, inaccurate, stale, or inconsistent, and do not predict nor do they attempt to predict future performance. Any model output represents a hypothetical mathematical allocation generated by an optimization algorithm based on historic publicly available data and is not intended to represent a real, implementable portfolio. No representation is made that such a portfolio would be profitable, suitable, or achievable in real market conditions.
(f) SCL does not, nor does any other party in connection with the provision of the Service, make any representations concerning any content contained in or accessed through the Service, and we will not be responsible or liable for the accuracy, copyright compliance, legality or decency of material contained in or accessed through the Service. SCL does not, nor does any other party in connection with the provision of the Service, have control over, nor any duty to take any action regarding which users gain access to or use the Service, how the user may interpret the output or use the Software, or what actions the user may take as a result of having been exposed to the Software.
(g) Investing in the financial markets involve risk of total loss.
2.3 No person may use, distribute, publish, or present any output obtained from the Service, including through the API, as investment advice, a recommendation, or a solicitation to buy or sell a financial instrument. A user may not integrate, embed, or redistribute Service outputs within any product or service that would constitute and attempt to do so.
3.1 The Service is provided "as is," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement. SCL does not, nor does any other party in connection with the provision of the Service, make any warranties or representations that its functionalities will be accessible, available, uninterrupted, or error free. SCL shall not, nor shall any other party in connection with the provision or use of the Service, be liable for any loss, inconvenience, or damage resulting from the unavailability, interruption, or malfunction of the Service, its functionalities, or any outputs, including, but not limited to indirect, incidental, punitive, exemplary, special or consequential damages, even the possibility of such damages have been advised. The use of the Service will be at the user’s sole risk.
3.2 SCL will not, nor will any other party in connection with the Service, be responsible or liable to the user for any losses the user incurs as the result of the use of the Service, including but not limited to any losses, damages or claims arising from user error, server failure or data loss; corrupted software files; or unauthorized access or activities by third parties, including, but not limited to, the use of viruses, phishing, brute-forcing or other means of attack.
3.3 The user is responsible for all activity occurring through the user’s account, including any inputs submitted using the user’s credentials, and the user agrees to indemnify SCL against any claims arising from the user’s inputs, the use of the Service, or the user’s breach of these TOS.
4.1 The Service, and all of the content it contains, or may in the future contain, including but not limited to text, content, photographs, video, audio and graphics, goods, designs, information, applications, software, music, audio files, articles, directories, guides, photographs as well as the trademarks, service marks, trade names, trade dress, copyrights, logos, domain names, code, patents and/or any other form of intellectual property that relates to the Service, are owned by or licensed by SCL or other parties and are protected from any unauthorized use, copying and dissemination by copyrights, trademarks, service marks, international treaties, and/or other proprietary rights and laws of the United Kingdom and any other countries.
4.2 The user acknowledges that the Service has been developed, compiled, prepared, revised, selected, and arranged by SCL and other parties (including certain other information sources) through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort, and money, and constitutes valuable intellectual property of SCL and such others. You agree to protect the proprietary rights of SCL and all others having rights in the Service during and after the term of this agreement and to comply with all reasonable written requests made by SCL or its suppliers and licensors of content, equipment, or otherwise (“Suppliers”) to protect their and others’ contractual, statutory, and common law rights in the Service. You agree to notify SCL in writing promptly upon becoming aware of any unauthorized access or use of the Service by any individual or entity or of any claim that the Service infringes upon any copyright, trademark, or other contractual, statutory, or common law rights.
4.3 All present and future rights in and to trade secrets, patents, copyrights, trademarks, service marks, know-how, and other proprietary rights of any type under the laws of any governmental authority, domestic or foreign, including rights in and to all applications and registrations relating to the Service (the “Intellectual Property Rights”) shall, as between the user and SCL, at all times be and remain the sole and exclusive property of SCL. All present and future rights in and title to the Service (including the right to exploit the Service and any portions of the Service over any present or future technology) are reserved to SCL for its exclusive use. Except as specifically permitted by the TOS, the user may not copy or make any use of the Service or any portion thereof. Except as specifically permitted herein, the user shall not use the Intellectual Property Rights or the Service, or the names of any individual participant in, or contributor to, the Service, or any variations or derivatives thereof, for any purpose, without SCL’s prior written approval.
5.1 The user may not use the Service for any illegal purpose, for the facilitation of the violation of any law or regulation, or in any manner inconsistent with the TOS. The user agree to use the Service solely for the user’s own benefit, and not for resale or other transfer or disposition to, or use by or for the benefit of, any other person or entity. The user agree not to use, transfer, distribute, or dispose of any information contained in the Service in any manner that could compete with the business of SCL or any Suppliers.
5.2 Except as expressly permitted by SCL in writing the user may not copy, reproduce, recompile, decompile, disassemble, reverse engineer, distribute, publish, display, perform, modify, upload to, create derivative works from, transmit, transfer, sell, license, upload, edit post, frame, link, or in any way exploit any part of the Service, except that the user may download material from the Service and/or make one print copy for the user’s own personal, non-commercial use, provided that the user retain all copyright and other proprietary notices. The user may not recirculate, redistribute or publish the analysis, presentation, and information included in the Service without SCL’s prior written consent. Nothing contained in the TOS or the Service should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Service in any manner without the prior written consent of SCL or such third party that may own the Service or intellectual property displayed. Unauthorized use, copying, reproduction, modification, publication, republication, uploading, framing, downloading, posting, transmitting, distributing, duplicating or any other misuse of any of the service is strictly prohibited.
5.3 Any use of the Service other than as permitted by the TOS will violate the TOS and may infringe upon our rights or the rights of the third party that owns the affected Service. The user agree to report any violation of the TOS by others that the user become aware of.
5.4 The Service and the information contained therein may not be used to construct a database of any kind. Nor may the Service be stored (in its entirety or in any part) in databases for access by the user or any third party or to distribute any database Services containing all or part of the Service. The user may not use the Service in any way to improve the quality of any data sold or contributed by the user to any third party.
5.5 The user may not input, distribute, upload, post, email, transmit or otherwise make available any content through the Service that: (i) is promotional in nature, including solicitations for funds or business, without the prior written authorization of SCL, or constitutes junk mail, spam, chain letters, pyramid schemes or the like; (ii) is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable; (iii) the user do not have the right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); (iv) infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party; (v) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware, or telecommunications equipment; (vi) is harmful to minors; or (vii) constitutes the personally identifiable information of any other person that such person has not authorized the user to disclose.
5.6 The user may not use any of the trademarks, trade names, service marks, copyrights, or logos of SCL in any manner which creates the impression that such items belong to or are associated with the user or are used with SCL’s consent, and the user acknowledge that the user have no ownership rights in and to any of such items.
5.7 The user may neither interfere with nor attempt to interfere with nor otherwise disrupt the proper working of the Service, any activities conducted on or through the Service or any servers or networks connected to the Service. The user may neither obtain nor attempt to obtain through any means any materials or information on the Service that have not been intentionally made publicly available either by public display on the Service or through accessibility by a visible link on the Service. The user shall not violate the security of the Service or attempt to gain unauthorized access to the Service, data, materials, information, computer systems or networks connected to any server associated with the Service, through hacking, password timing or any other means. The user may neither take nor attempt any action that, in the sole discretion of SCL, imposes or may impose an unreasonable or disproportionately large load or burden on the Service or the infrastructure of the Service. The user shall not use or attempt to use any “scraper,” “robot,” “bot,” “spider,” “data mining,” “computer code,” or any other automate device, program, tool, algorithm, process or methodology to access, acquire, copy, or monitor any portion of the Service, any data or content found on or accessed through the Service, or any other Service information without the prior express written consent of SCL. The user may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any other content.
6.1 The Service permits users to enter text, selections, filters, parameters, exclusions, and other information (collectively, “Inputs”) for the purpose of generating automated outputs. The user retains any rights the user may have in the wording of the user’s Inputs. Except for the limited license granted below, SCL does not claim ownership of the user’s Inputs.
6.2 By submitting Inputs to the Service, the user grant SCL a worldwide, non-exclusive, royalty-free license to host, store, copy, process, analyse, and transform the Inputs as necessary to operate, maintain, secure, test, support, and improve the Service, including generating model outputs and maintaining system performance and reliability.
6.3 The user acknowledge that the Service operates by automated computational methods. SCL may use Inputs in aggregated or de-identified form for debugging, model calibration, system monitoring, safety review, and quality improvement. SCL will not process the user’s Inputs in a manner that identifies the user.
6.4 Inputs are not treated as confidential, proprietary, or advisory communications. The user should not submit information that the user expect to be kept confidential or that is subject to contractual or legal confidentiality restrictions.
6.5 The user represents and warrants that the user has the necessary rights and permissions to provide the Inputs and that providing them does not violate any law, contractual restriction, or third-party right. The user will not submit personal data of another individual without lawful authority to do so.
6.6 No compensation, credit, or attribution is owed to the user for any use of Inputs in connection with the operation or improvement of the Service.
6.7 SCL has no obligation to review, act upon, or respond to any Input.
7.1 The Service is provided on a subscription basis. Access to certain features of the Service requires an active paid subscription (“Subscription”). Details of available subscription plans and associated features are presented within the Service or at the point of purchase.
7.2 Subscriptions purchased via third-party platforms, including but not limited to the Apple Inc. App Store or Google LLC Play Store, are processed by the relevant platform, which acts as the merchant of record. In such cases, payment processing, billing, renewals, cancellations, refunds, and applicable taxes (including VAT, GST, or sales tax) are governed by the terms and policies of the relevant platform. SCL does not control and is not responsible for such processes.
7.3 Subscription pricing is displayed at the point of purchase within the relevant platform and may vary depending on the user’s location, currency, and applicable taxes. The price presented at the time of purchase is the applicable price for the relevant billing period.
7.4 Subscriptions purchased via a third-party platform must be managed through the user’s account with that platform. SCL does not administer subscription billing, cancellations, or changes for such subscriptions.
7.5 SCL reserves the right to suspend or terminate access to the Service where a Subscription is inactive, expired, cancelled, or otherwise not in good standing.
7.6 SCL may modify subscription plans, including features or entitlements, from time to time. Any changes to pricing or billing will be implemented in accordance with applicable platform requirements.
7.7 Subscriptions are offered in tiered plans, each providing a set number of credits per billing period. The number of credits included in each plan is displayed within the Service at the point of purchase. Credits have no monetary value, are non-transferable, and may only be used within the Service in accordance with these TOS and any conditions presented within the Service.
7.8 Credits are typically allocated at the start of each billing period unless otherwise stated (including in the case of trials or promotions). Credits may be used to access features within the Service as specified. Credits are valid only while the user maintains an active Subscription, unless otherwise stated within the Service. Unless otherwise stated within the Service or at the point of purchase, unused credits expire at the end of each billing period. In certain cases, SCL may allow unused credits to roll over to a subsequent billing period, subject to any limits or conditions communicated within the Service.
7.9 Subscriptions may be upgraded or downgraded through the user’s account with the relevant platform. Upgrades: May take effect immediately. Credit entitlements may be adjusted to reflect the new Subscription. Downgrades: Typically take effect at the end of the current billing period. Existing credits remain available until that time.
7.10 Billing adjustments and timing of changes are determined by the platform provider. If a Subscription is cancelled, the user will retain access to the Service until the end of the current billing period. Any unused credits will expire when the Subscription period ends. If a Subscription lapses, expires, or is terminated, access to the Service (including any remaining credits) will end immediately at the conclusion of the active billing period.
7.11 SCL may modify credit allocations, usage rules, or features associated with credits from time to time. Any such changes will apply to future billing periods unless otherwise stated.
7.12 SCL may, from time to time, offer free trials, introductory offers, or promotional credits. Where a free trial is offered, access to the relevant Subscription will be provided for the stated trial period and will automatically convert into a paid Subscription unless cancelled by the user in accordance with the applicable platform’s terms before the end of the trial period. Promotional or bonus credits may be granted at SCL’s discretion and may be subject to additional terms, including expiry or usage restrictions. Such credits have no monetary value and may be withdrawn or modified at any time.
8.1 As part of the registration and account creation process necessary to obtain access to certain portions of the Service, including those portions that require a fee or payment for access, the user will select a username and a password. The user will provide SCL with certain registration information, all of which must be accurate, truthful, and updated. The user shall not: (i) select a username already used by another person; (ii) create an account for anyone other than the user without permission; (iii) use a username in which another person has rights without such person’s authorization; or (iv) use a username or password that SCL, in its sole discretion, deems offensive or inappropriate. SCL reserves the right to deny creation of the user’s account based on SCL’s inability to verify the authenticity of the user’s registration information. The user shall be solely responsible for maintaining the confidentiality of the user’s password. The user shall immediately notify SCL by submitting feedback of any known or suspected unauthorized use(s) of the user’s account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of the user’s password or credit card information. The user are fully responsible for all usage and activity on the user’s account, including, but not limited to, use of the account by any third party authorized by the user to use the user’s username and password. The user agree the user will not sell, transfer or assign the user’s membership or any membership rights.
8.2 The use of the user’s account by any individual under age eighteen (18) is strictly prohibited. If the computer system on which the user accessed the Service is sold or transferred to another party, the user warrant and represent that the user will delete all cookies and software files obtained by or through use of the Service.
8.3 SCL reserves the right to terminate the user’s account, in its sole discretion, at any time without notice. If we disable the user’s account, the user agree that the user will not create another one without our permission. The user may terminate the user’s account at any time by submitting feedback. Upon termination, the user will receive an automated confirmation via e-mail that the request was received, and the user’s account will be terminated within five (5) business days. The user are responsible for all charges incurred up to the time the account is terminated. Notwithstanding anything else herein, SCL reserves the right to pursue any and all claims against any user of the user’s account. The user agree to maintain only one account with the Service at any time and certify that the user currently have no other account(s) with the Service.
9.1 The user and SCL agree that English law applies to these TOS. If the user is domiciled in an EU Member State, the user has the benefit of any protection afforded to the user by the mandatory provisions of the law of the user’s country of domicile. The user can bring legal proceedings under these TOS in the English courts or the courts of the EU Member State in which the user lives.
10.1 The agreement between us and the user is personal to the user and no third party is entitled to benefit under it. The user agrees that SCL can transfer our rights and obligations under these TOS to any other companies in the same group as us, or to any other company or firm or person provided that the user’s rights under this agreement will not be adversely affected as a result of such transfer. The user may not transfer the user’s rights or obligations under these TOS to anyone else.
10.2 If any paragraph or section, or if any part of a paragraph or section, of these the TOS is held to be unlawful, invalid or unenforceable by a court or legal authority, that paragraph or section, or any part of that paragraph or section, shall be treated as removed. The validity and enforceability of the remaining parts of these TOS shall continue and will not be affected.
10.3 To the extent SCL fail to or decide not to exercise any right of claim against the user to which SCL are entitled, this will not constitute a waiver of that right unless otherwise indicated to the user in writing.
